Terms of Service

• “Service” — the Agentik API, software, dashboards, portals, applications and documentation we make available.
• “Supplier” — a third-party travel content or inventory provider (e.g. bedbanks, GDS, airlines, activity and transfer providers) accessible through the Service.
• “Traveller Data” — personal data of end travellers that you submit to, or that is processed through, the Service in order to search, book or manage travel.
• “API Key” — the credentials issued to you to authenticate requests to the Service.

Subject to these Terms, Agentik grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes and to build and operate travel products for your customers.

Agentik acts as a technology intermediary. We aggregate, normalise and enrich Supplier content and route booking requests to Suppliers. We are not the provider of the underlying travel products and do not act as a travel agent, tour operator or carrier unless expressly stated.

You must be a business or professional entity, register accurate information, and keep it up to date. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

You must be legally capable of entering into binding contracts and must comply with all laws applicable to your use of the Service, including travel, consumer-protection, sanctions and export-control laws.

API Keys are confidential and issued to you alone. You must protect them, restrict access to authorised personnel, and notify us immediately of any suspected compromise. You are responsible for all requests made using your API Keys.

We may rate-limit, throttle, rotate or revoke API Keys to protect the integrity, security and availability of the Service.

You agree not to:

• use the Service in violation of any law or Supplier terms;
• scrape, cache, resell or redistribute Supplier content except as permitted for the purpose of operating your travel product;
• reverse engineer, decompile or attempt to derive source code from the Service;
• interfere with, overload or disrupt the Service or circumvent security or rate limits;
• misrepresent prices, availability or booking conditions to your customers;
• use the Service to build a directly competing aggregation product.

Each booking made through the Service is a contract between the traveller (or you, on their behalf) and the relevant Supplier, subject to that Supplier’s rates, rules, and cancellation and refund policies, which are surfaced to you through the Service.

You are responsible for presenting accurate booking conditions to your customers, for collecting payment from them, and for handling their customer-service, cancellation and refund requests in accordance with the applicable Supplier policy.

Agentik is not liable for the acts, omissions, quality, availability or non-performance of any Supplier or travel product.

Fees for the Service (including any subscription, transaction, markup or per-booking fees) are set out in your order form or commercial agreement with us. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for.

Net Supplier costs, your markups and your customer pricing are configured by you; you are responsible for the accuracy of your pricing and for remitting amounts due to Suppliers and to us.

The Service, including all software, APIs, models, documentation, trademarks and design, is and remains the property of DATALAB360 and its licensors. No rights are granted except the limited licence in these Terms.

You retain ownership of your own content, branding and data. You grant us a licence to process it solely to provide and improve the Service.

Our processing of personal data is described in the Agentik Privacy Policy. For Traveller Data that you submit, you generally act as the data controller and Agentik acts as a data processor, processing such data on your documented instructions and in compliance with applicable data-protection law (including the EU GDPR).

You are responsible for having a valid legal basis and appropriate notices/consents to submit Traveller Data to the Service.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Agentik disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that Supplier content (including prices and availability) is always accurate, complete or current, or that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

Agentik’s aggregate liability arising out of or relating to the Service is limited to the fees paid by you to Agentik in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless DATALAB360 and its affiliates from any claims, damages and expenses arising out of your use of the Service, your travel products, your pricing, your breach of these Terms, or your violation of any law or Supplier terms.

These Terms apply while you use the Service. Either party may terminate as set out in your commercial agreement, or we may terminate or suspend access immediately for breach, security risk, non-payment, or Supplier/legal requirement.

On termination, your licence ends and you must stop using the Service and delete cached Supplier content, subject to any survival provisions.

We may update the Service and these Terms from time to time. Material changes will be notified via the dashboard or email. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of France. The courts of France shall have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights.
